Officers

Overview

The Officers screen contains all current and previous officeholders for the selected company.

Officeholders consist of directors, secretaries, alternates, and reserve directors.

Navigation

From the Main Toolbar, go to Company

Add Officers

To add an Officer, click mceclip1.png

1. Select the Officer Name

Start by typing the contact’s name to select the contact. CAS 360 will begin searching the Global Contacts screen. If the contact has not been previously saved to the database, select mceclip2.png  to create the contact

Note: Identity Information

CAS360 will recognise when identity information has not been entered for the contact selected.
Click the prompt to enter the necessary details:

2. Select the Position and Position Status

Option

Description

Director

A Director is a person in charge of managing the affairs of the company. When a person is acting as a director, they must act in the best interests of the company.

Secretary

Every company must appoint a secretary.

Alternate

An Alternate Director is appointed as a replacement when a director is unable to attend meetings or exercise powers as a director.

Reserve Director

The Reserve Director has the power to act in place of the sole director in the event of the sole director's death.

This is an option when a company has a single shareholder serving as the sole director.

Note: CAS360 will recognise when you are attempting to add more than one Reserve Director:


3. Select the Meeting Status

Option

Description

Attendee

Directors and alternates will be shown as present at meetings and listed on resolutions.

The Secretary will be shown as in attendance at meetings.

Signatory

The officer will be shown as a signatory on company forms and other documents.

If the officer is a director or alternate, the officer will be listed on resolutions as well.

Note: Cannot have a Signatory and a Chairperson at the same time.

Chairperson

If the officer is a director or alternate, this person will be shown as chairperson at meetings and will be listed on resolutions as well.

Form Signatory

The officer will be shown as a signatory on company forms and other documents.

If the officer is a director or alternate, the officer will be listed on resolutions as well.

Apology

This officer will not be shown on meeting minutes or resolutions.

Non-Attendee

This officer will not be shown on meeting minutes or resolutions, as the officer did not attend the meeting when the decision was made.

4. Input Date of Appointment and Date Ceased

Input the date of appointment, and if the officer has been resigned, removed, or deceased, input the date ceased.

5. Notes

Add extra notes to appear on the Register of Officers

Alternate Directors

If the person is an alternate director, also provide the following information:

Alternate For

In the Alternate For field, CAS 360 will display a list of the company's current officers.

Appointment Terms

Input the reason for the appointment and the time period for the Alternate's position

 

Click mceclip3.png to save details. 

Filter Officers

Filter the Officers screen to display either Current (currently appointed) or Historical (all past and present) officers.

Use the Search box to look for an officer using their name:

Officers Register

Click 3.png on the top right-hand side of the screen to view the following:

Option

Description

Officer Quorum

This represents the minimum number of Officers present for meetings and/or resolutions.

Print Current Register

This will produce a PDF of the register with only current positions.

Print Historical Register

This will produce a PDF of the register with current and previous positions.

View Officer Details Instantly

Hover your mouse over the mceclip5.png beside any previously entered Officer to quickly view the Officer's details.

To edit these officer details, click mceclip6.png

Edit or Delete a Company Officer

Click 3.png  next to the Officer Name

Edit

This will allow you to edit the Officer Details. Once updated, this will enable you to prepare officer change forms.  

Delete

This will delete the officer from the database.

Additional Options

Select the button (far right-hand side of the screen) to:

  • Prepare a Company Report
