Register of Significant Controllers

Overview

The Register of Significant Controllers requires Hong Kong companies to obtain and maintain up-to-date beneficial ownership information.

All companies incorporated in Hong Kong (except listed companies) are required to:

identify and ascertain a person/persons who has/have significant control over the company, and
maintain a significant controllers register to be accessible by law enforcement officers upon demand.

From the Main Toolbar, go to Company
Select the Company from the list
Select Shareholders

Add Significant Controllers

Select . This will enable you to add, view or print the Significant Controllers.

Select Add Significant Controllers.

The Significant Controllers screen will display:

Field	Explanation
Name	Begin typing the name. CAS 360 will search the Global Contacts screen for the contact. If the contact has not been previously saved to the database, select to create the contact.
Position	Select between Significant Controller or Designated Representative. A Designated Representative is a natural person who deals with authorities and law enforcement when it comes to the Significant Controller Register. At least one person must be designated as the company's representative.
Status	Select between Appointed or Ceased.
Capacity	Select the capacity of the designated representative.
Appointed	Date of becoming a Significant Controller or Designated Representative.
Date of Entry	Date when the Significant Controller or Designated Representative is added to the register, or when the entry has been updated.
Ceased	Date ceased as a Significant Controller (if applicable).
Notes	Add any extra notes in relation to the Significant Controller.

If a Significant Controller has been selected as the position, a Nature of Control tab will appear.

It includes a person or legal entity that has one or more of the following 5 conditions met: Holds more than 25% of the issued shares in the company, directly or indirectly. Holds a right or rights to share in more than 25% of the capital or profits of the company, directly or indirectly. Holds more than 25% of the voting rights in the company, directly or indirectly. Holds the right to appoint or remove a majority of the board of directors, directly or indirectly. Exercises or has the right to exercise significant influence or control over the company. Exercises or has the right to exercise significant influence or control over the activities of a trust or a firm that is not a legal person, but whose trustees or members satisfy any of the first 4 conditions in relation to the company.

Exercises or has the right to exercise significant influence or control over the activities of a trust or a firm that is not a legal person, but whose trustees or members satisfy any of the first 4 conditions in relation to the company.

Select View Significant Controllers to view all the current and historical Significant Controllers (including appointment history) added to the company and to make any necessary changes.
